In short
- Your scores, and the files you convert, are yours.
- Paddle sells our licences as the merchant of record, so your receipt comes from Paddle.
- A yearly licence renews each year until you cancel; cancelling keeps it working to the end of the year you paid for.
- Not happy within 30 days? A full refund. See the refund policy.
- Otra isn't connected with the makers of Encore.
Who you're agreeing with
These terms are an agreement between you and SikaHaus LLC, the maker of Otra ("SikaHaus", "we", "us"). They cover otramusic.com and its subdomains, Otra Rescue, the Otra editor on the web and on the Mac, and the support we give (together, "Otra"). By using Otra you agree to them. If you use Otra for an organisation, you agree for it.
Buying through Paddle
Our order process is run by our online reseller Paddle.com. Paddle.com is the merchant of record for all our orders: it sells you the licence, takes the payment, charges any sales tax or VAT, and sends your receipts and invoices. Paddle's buyer terms apply to the purchase itself.
Questions about a charge can go to Paddle at paddle.net or to us. Questions about Otra itself come to us at support@otramusic.com.
Prices and renewals
Prices are shown in US dollars before tax; Paddle adds any tax at checkout. A one-time purchase, such as a pre-order, is charged once.
A yearly licence renews automatically at the end of each year unless you cancel before the renewal date. Cancel any time through paddle.net or by writing to us; your licence keeps working until the end of the year you've paid for. A price change applies to new purchases, not to a licence you already have.
Free use and trials
Rescue's preview is free for every file, and each visitor can convert one file in full for free. Please don't work around these limits, for example by hiding your address to get more free conversions.
A free trial of the Otra editor lasts as long as stated when it starts and needs no card. When it ends, your scores stay readable, and a plan lets you keep editing.
Pre-orders
A pre-order pays now for something that isn't out yet. You can cancel it for a full refund at any time until it launches.
Your licence
When you buy, you get a personal licence to use what you bought for the time you paid for. It doesn't pass to someone else without our agreement. Rescue gives you a licence key: keep it private, because a key shared publicly may be switched off.
Otra's software stays ours, and its open-source parts stay their authors'. You get the right to use it, not to copy, resell or take it apart beyond what the law allows.
Your music
Scores you write, files you convert and anything you upload stay yours. You give us only the permission we need to run Otra for you: to store your cloud scores, show them to the people you share them with, convert them and back them up. Files Rescue converted for you are yours to keep, even after your licence ends or is refunded.
Files you send with a fix request are used to fix the converter, and stay in our test set only if you agreed. Make sure you have the right to use the music you put into Otra; you're responsible for what you share.
Fair use
Please don't:
- use Otra to break the law or anyone's rights, including copyright;
- attack, overload or probe our servers, or get around licence checks and limits;
- use Otra to send spam or harmful files;
- resell access to Otra.
We may suspend an account or a licence key that does.
Encore
Otra and Otra Rescue open files saved by Encore so musicians can keep using their work. We are not connected with, or endorsed by, the makers of Encore. Encore is a trademark of its owner.
How Otra is provided
We work hard to get every conversion right, and each report tells you what to check. Still, Otra is provided "as is": we can't promise it will be free of errors or always available, or that every file converts perfectly. Check important scores before you rely on them. If a file doesn't come through right, send a fix request, or ask for a refund within 30 days.
Nothing in these terms takes away rights you have under the consumer law where you live.
Liability
As far as the law allows, we're not liable for indirect or consequential losses, such as lost income or lost work you could have backed up, and our total liability for any claim is limited to what you paid us in the 12 months before it. These limits don't apply where the law doesn't allow them, such as for death or injury caused by negligence, or for fraud.
Ending
You can stop using Otra and cancel at any time. We may suspend or end your access if you seriously or repeatedly break these terms. If we end a paid licence for any other reason, we refund the part you haven't used.
Changes
We may update these terms as Otra changes. The date at the top changes with them, and we'll email account holders and licence buyers about a change that matters before it applies. If you don't agree, you can cancel before it does.
Law
These terms are governed by the laws of the United States and of the state in which SikaHaus LLC is organised, without regard to their conflict-of-law rules. If you're a consumer, you also keep the protection of the mandatory laws of the country you live in, and you can bring a claim in your local courts.
